General Assembly

The supreme governing body of the Association is the General Meeting of its members. The procedure for its convocation and the competence of the General Assembly is determined by this Charter. (transition to the Charter)

The Board of the Association is a collegial executive body and is actively involved in the implementation of the goals of the Charter of the Association and the implementation of decisions of the General Assembly.

The general meeting is held within the deadlines determined by the Board of the Union, but at least once a year. The general meeting of members, which is not annual, has extraordinary status. The number of representatives at the General Meeting of the Association members is determined in the following order: from each of the Association members – 1 representative with voting right.

The competence of the General Assembly of the Association includes the following questions:

  1. Approval and amendment of the Association Charter.

  2. Determination of the priorities of the Association, the principles of formation and use of its property.

  3. Reorganization and liquidation of the Association.

  4. Formation and early termination of powers of the Board of the Association, Chairman of the Board of the Association, Supervisory Board of the Association.

  5. Approval of the Regulations on the Board of the Association.

  6. Approval of standards for the minimum values ​​of entrance and annual contributions of members of the Association and the procedure for their payment.

  7. Determination of the procedure for admission to the membership of the Association and exclusion from the membership of the Association.

  8. Making decisions on the creation by the Association of other legal entities, on the participation of the Association in other legal entities, on the establishment of branches and on the opening of representative offices of a non-profit organization.

  9. Election of the Auditor and appointment of an audit organization or an individual auditor of the Association.

  10. Making decisions on additional property contributions of members of the Association to its property and on the amount of their subsidiary liability for the obligations of the Association.

  11. Solving other issues included in the agenda of the General Meeting of the Association members by decision of the Board of the Association or the Chairman of the Board of the Association.

The general meeting of the Association is held annually no later than six months after the end of the fiscal year. The Chairman of the Board of the Association shall notify all members of the Association in writing no later than one month before the date of the General Meeting of the Association members about the time and place of the meeting and the agenda of the General Meeting of the Association Members.

The decision to convene the annual General Meeting of Members is taken by the Board of the Union.

The decisions of the General Assembly of the Association on matters within the exclusive competence of the General Assembly of the Association members are considered adopted if 2/3 (two-thirds) of the Association members attending the General Assembly of the Association members vote for it, if there is a quorum. The decision on the reorganization and liquidation of the Association is taken unanimously by all members of the Association.

Decisions on other issues within the competence of the General Meeting are made by a simple majority of votes of the Association members present at the General Meeting.

The chairperson of the General Meeting of the Association is the Chairman of the Board of the Association.

The decision of the General Meeting of Members of the Association shall be recorded in a protocol. A copy of the protocol is sent to all members of the Association within 14 days after the date of completion of the work of the General Meeting of Members of the Association.
